IT IS IMPORTANT THAT YOU READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE REGISTERING AS AN AFFILIATE! THESE TERMS AND CONDITIONS FORM A LEGAL AND CONTRACTUALLY BINDING AGREEMENT. YOU INDICATE YOUR WILLINGNESS TO BE BOUND BY THESE TERMS AND CONDITIONS BY SUBMITTING A REGISTRATION APPLICATION (DEFINED BELOW) FOR THE PROGRAM. BY REGISTERING FOR THE PROGRAM, YOU CERTIFY THAT YOU HAVE READ AND UNDERSTAND THE TERMS SET FORTH IN THESE TERMS AND CONDITIONS, AND THAT YOU ARE AUTHORIZED TO AGREE TO THESE TERMS AND CONDITIONS.Welcome to the GummyPlay Affiliate Program. These Terms & Conditions (“Agreement”) outline the terms under which you (“You”, “Your” or “Affiliate”) may promote GummyPlay(the “Company”, “We”, “Our”, or “Us” which is operated by Sweepium LTD) and earn commissions. These terms and conditions govern Your participation as a GummyPlay Affiliate in this Program. The Program permits affiliates to promote GummyPlay’s social casino, available at Our Website(s) and its related mobile app(s) (our “Social Casino products”), which include various games and activities that are made available by GummyPlay as part of Sweepium LTD’s portfolio of social casino offerings. Affiliates can earn Referral Fees (defined below) for new customers they refer to our Social Casino products as set forth below.

1. DEFINITIONS:
Affiliate: An individual or entity accepted into the GummyPlay Affiliate Program;Affiliate Web Link Page: The web pages of the Affiliate Website that provide a hyperlink to one or more pages of the Website;Affiliate’s Website(s): Affiliate’s sites and any future version or replacement of those sites as notified in advance to Us in writing (e-mail being sufficient) and subject to our prior written approval on a case by case basis (prior to any such Affiliate Website(s) going live);Affiliate Services: means the Affiliate’s promotion, advertising, and marketing of the Website(s) (as defined below) and the linking from the Affiliate Website(s) to Our Website(s), subject to these Terms and Conditions;Brand Manual: guidelines which may be provided by Us to the Affiliate from time to time (and which can be changed at Our discretion) prescribing the permitted form and manner in which Our logo and other brand elements may be used;Business Day: a day other than a Saturday, Sunday or public holiday in Isle Of Man when banks are open for business;Cookies: the InitialTrafficSource cookie used by the Company to identify, store, and retrieve information about a first-time visitor to any of the Company’s or Group’s Website(s) which shall be maintained for a maximum period as necessary and in accordance with applicable law;Website(s): The websites designated to the Affiliate in writing (via email or Insertion Order ‘IO’) by GummyPlay or any entity under Sweepium Ltd, encompassing all related databases, software, domains, infrastructure, and marketed services. This definition extends to all future iterations, replacements, and successors, including any affiliated social gaming or related platforms within the Sweepium Ltd Group, unless explicitly stated otherwise.Player Account: A uniquely identifiable account or profile created with GummyPlay or any company operated by Sweepium Ltd when a visitor registers on any of the Website(s), allowing a Qualified Player or a prospective Qualified Player to participate in the activities offered on the Website(s) from time to time.Referred Customer: A visitor to any of the Website(s) of GummyPlay or any company operated by Sweepium Ltd who: (i) has been introduced or referred to such Website(s) via the Affiliate through a designated link provided by Us, subject to all applicable terms and conditions; and (ii) has not previously held a Player Account with GummyPlay or any company operated by Sweepium Ltd, nor has been previously referred to Us and/or GummyPlay (whether or not a Player Account was opened); and (iii) successfully registers a Player Account with GummyPlay or any company operated by Sweepium Ltd; and (iv) is authorized to access and use the Website(s) in compliance with its terms and conditions and all applicable laws, rules, and regulations; and (v) has a Cookie attributable to the Affiliate, whether or not they qualify as a Qualified Customer; and (vi) has not set the Cookie during a previous visit.Qualifying Customer: A new Referred Customer by the Affiliate who meets all qualifying criteria;Qualifying Criteria: Opens a Player AccountMakes purchases amounting to a minimum sum (“Qualifying Deposit”) as may be determined by the Company at its discretion from time to time;Qualifying Deposit: A first purchase that meets the minimum transaction requirement (details shared directly with affiliates) and is subject to final approval by GummyPlay;Commission: The amount payable to an Affiliate for referring Qualifying Customers, subject to GummyPlay’s approval and review;Cost per Acquisition (CPA): a one-time fixed-fee payment paid by Us for each Qualified Player (as defined below) referred to the Website(s) by the Affiliate;Revenue Share: A recurring percentage-based commission paid by Us to the Affiliate, calculated on the Net Gaming Revenue (as defined below) generated by each Qualified Player referred to the Website(s) by the Affiliate;Hybrid: A commission structure combining both Cost per Acquisition (CPA) and Revenue Share, where the Affiliate receives a one-time fixed-fee payment for each Qualified Player referred to the Website(s) and an ongoing percentage of the Net Gaming Revenue generated by those players;Marketing Materials: Approved banners, ads, and content provided by GummyPlay;Restricted Territories: States where sweepstakes promotions are not permitted, including but not limited to Idaho, Washington, Michigan, Nevada, Montana, Louisiana, Alabama, Georgia, Kentucky, Mississippi, New Jersey, New York, Maryland, and Connecticut. This list may be updated as legal regulations change. 2. PROGRAM PARTICIPATION:
2.1 Program Registration and Approval: To qualify as a Program affiliate, You must be at least 18 years old and maintain an active account in good standing with Our products. Additionally, You must have prior experience with or familiarity with Our products before promoting them. To apply, You must complete and submit the registration materials (“Registration Application”) provided via the link specified in the IO.By submitting Your Registration Application, You acknowledge and agree that the Company may use various evaluation methods to verify Your eligibility, including but not limited to background checks and reference verification. You explicitly authorize the Company and its vendors to conduct these checks to confirm the accuracy of Your Registration Application. Affiliates must disclose whether they have been previously banned or removed from any other affiliate programs due to non-compliance, fraud, or violations of terms.The Company reserves the right to verify the provided information at any time and may, at its sole discretion, deny your participation in the Program for any reason or without reason, without prior notice.As part of the Registration Application process, and at any stage (including after approval), You may be required to provide:A comprehensive list of domains You intend to use for Program participation, along with details on their content and design (subject to Our approval or rejection at Our sole discretion);Information regarding Your marketing strategies and target audience;Proof of identification, including a government-issued identification number if requested;Payment details;Any additional documentation or information deemed necessary by the Company.2.2 Affiliate participation in the Program: Upon approval, We grant You a non-exclusive right to participate in the Program and promote Our Social Casino products, subject to these Terms and Conditions. Once You meet Our requirements and receive acceptance into the Program, Your Affiliate account will be activated, providing You with a revocable license to operate as an affiliate. This license and Your participation in the Program remain conditional on continued compliance with these Terms and Conditions.We reserve the right to suspend or terminate Your Program account, participation, and these Terms and Conditions at any time, without cause and at Our sole discretion. Grounds for termination may include, but are not limited to:Failure to maintain and update Your website as required;Publishing content deemed detrimental or prejudicial to the GummyPlay or Sweepium Ltd brand;Using materials that infringe on copyrights or third-party rights;Any breach of these Terms and Conditions;Engaging in fraudulent activities, violating third-party privacy rights, intellectual property laws, or other applicable laws and regulations.Additionally, You are required to comply with all policies and procedures established by GummyPlay or any company operated by Sweepium Ltd in relation to Social Casino products, as updated from time to time. These policies form an integral part of these Terms and Conditions. In case of any conflict between these Terms and Conditions and other documents, these Terms and Conditions shall prevail.Both parties shall disclose information as required by regulatory authorities. However, prior to disclosing any non-public information about GummyPlay or Sweepium Ltd, You must provide Us with notice of the compelled disclosure, allowing sufficient time for Us to object or seek confidential treatment.At the Company’s request, You may be required to participate in training sessions, including responsible gaming awareness and other relevant courses. Affiliates are limited to one (1) account unless otherwise agreed in writing by the Company.Regardless of whether such training is undertaken, it is solely Your responsibility to ensure compliance with all applicable legal obligations related to Your activities, including but not limited to privacy and data protection laws, intellectual property laws, anti-money laundering regulations, advertising, and direct marketing laws.2.3 You shall deliver the Affiliate Services strictly through the use of Approved Marketing Material for each designated market and/or territory. Any promotion or marketing activities outside of the Approved Marketing Material are strictly prohibited. You assume full responsibility and agree to fully indemnify the Company and its Group for any damages, losses, or liabilities arising from the use of unauthorized marketing or advertising materials.2.4 Affiliates are strictly prohibited from purchasing direct search engine keywords on Google, Yahoo, Bing, or any other search engines. This restriction includes, but is not limited to, our branded terms and any variations, misspellings, or modifications thereof. Prohibited terms include:GummyPlay, GummyPlay.com, www.gummyplay.com, Gummy Plays, GummyPlay Casino, and alternative spellings or variations such as:GumyPlay, GummiPlay, GummiePlay, GummyPlayGames, Gummy-Play, GummyPlaySlots, GummyPlayJackpot, GummyPlayWins, GummyPlayOffers, GummyPlayPromo, GummyPlayBonus, www.gummyplay.co, GummyPlayClub, GummyPlayLuck, GummyPlayWin, GummyPly, GummyPlaay, GummyPlayCazino, GumyPly, GummyPlayss, GummyPlayKasino.Affiliates must ensure compliance with this policy, as any violation may result in immediate termination from the Program and potential legal action.2.5 Affiliates are prohibited from providing any services in any prohibited territories. The Company may update the list of prohibited territories at its discretion. In any case, a prohibited territory shall be deemed to include any state where the applicable activity is not legally permitted, regardless of whether it is explicitly listed. Affiliates must not engage in indirect marketing or use third-party services to target users from restricted territories.
3. LICENSES:
3.1 We grant You a non-exclusive, non-transferable, revocable license to use Our approved trademarks, service marks, logos, links, Company marketing materials, and other intellectual property (collectively referred to as the “Licensed Materials”), strictly for the following purposes:Promoting and advertising Our products in association with the Program, in full compliance with these Terms and Conditions.For the duration of Your participation in the Program, provided You remain in good standing and compliant with these Terms and Conditions.This license shall immediately terminate upon the suspension or termination of these Terms and Conditions or Your removal from the Program, for any reason. Upon termination, You must cease all use of the Licensed Materials and remove any references to the Company from Your promotional content, websites, or other marketing channels.3.2 You shall not in any manner whatsoever, modify, alter, adjust, remove, crop, manipulate or create any derivative works of the Licensed Materials without our explicit written consent.3.3 You are limited to using the Licensed Materials for promoting our Social Casino products only. Any use of our Licensed Materials beyond the scope, or in a manner that We deem reflects negatively upon us, is strictly prohibited.3.4 We reserve all rights to our Licensed Materials. We may revoke your rights to use the Licensed Materials at any time and without cause, upon which you must immediately cease their use. Affiliates may not use variations, abbreviations, or translations of GummyPlay’s brand name in any marketing materials without prior written approval.3.5 Affiliate License: You grant us a non-exclusive, royalty-free license to use your approved names, logos, trademarks, and other associated materials (collectively referred to as “Affiliate Materials”) in connection with the Program and for any other related purpose. You must ensure that your Affiliate Materials and associated website content adhere to all relevant legal and ethical standards. All Affiliate Materials must first receive our prior written approval.3.6 Each party retains full ownership of their respective intellectual property. All goodwill from the licensed use of trademarks belongs exclusively to the trademark's owner. All customer data collected in association with our Social Casino products is your sole property
4. COMMISSION STRUCTURE & PAYMENTS:
4.1 Commission ModelsGummyPlay offers the following commission structures, details of which will be provided upon acceptance into the Program:Cost Per Acquisition (CPA): A fixed amount paid per Qualified Player who meets the required deposit criteria.Revenue Share: A percentage of net revenue generated by the Referred Player over a designated period.Hybrid Deals: A combination of CPA and Revenue Share, subject to individual agreements.A Qualifying Deposit is required for CPA payouts, and all CPA payments are subject to GummyPlay’s criteria and final approval.4.2 Customer Registration and PurchasesWe will process customer registrations and transactions completed through Your Affiliate Links. We reserve the right to reject registrations or purchases that do not meet Our requirements, at Our sole discretion.GummyPlay retains full control over customer registration, payment processing, and compliance verification.Any suspicious or fraudulent activities may result in commission reversals, as outlined in Section 6.6.4.3 Payment Processing & Minimum ThresholdPayments are made on a monthly basis, subject to a minimum payout threshold of USD $500.This threshold may be adjusted at GummyPlay’s sole discretion.Payments are processed via the method specified in Your affiliate account, provided all required documentation has been submitted and verified.All payment requests are subject to review and approval by GummyPlay before processing. The Company reserves the right to conduct additional verifications to ensure compliance with Program terms and prevent fraudulent claims.4.4 Tracking & ReportingWe will provide periodic reports detailing Referred Player activity and commission earnings.Affiliates may also access a Management System (if available) to track earnings and account activity.The availability and format of reports are subject to change at Our discretion.4.5 Compliance Assessments & Payment ConditionsGummyPlay reserves the right to conduct periodic compliance assessments before processing payments to ensure adherence to Program Terms.Payments may be withheld or denied if an Affiliate is found to be in breach of compliance requirements.Affiliates are required to submit all requested documentation, including proof of identity, tax details, and payment information.4.6 Adjustments for Chargebacks & Fraudulent TransactionsGummyPlay retains the right to recalculate, withhold, or reverse commissions under the following circumstances:Chargebacks initiated by Referred Players.Multiple accounts created by the same player or any form of account duplication.Fraudulent transactions, including false deposits or bonus abuse.Suspected abuse of the Program, such as unethical marketing tactics or unauthorized promotions.If commissions have already been paid for a disqualified player:The overpaid amount will be deducted from future commissions.If future commissions are insufficient to cover the outstanding balance, you must reimburse the Company immediately upon request. If the balance remains unpaid within thirty (30) days, GummyPlay reserves the right to issue an invoice for the outstanding amount, which must be settled within the specified payment period.4.7 Reserve Funds & Forfeiture of Unpaid CommissionsGummyPlay may withhold a reasonable reserve from commissions to cover potential chargebacks, fraud, or adjustments.If an Affiliate does not meet the minimum payout threshold for six (6) consecutive months, unpaid commissions may be forfeited.Affiliates will receive a notification via email at least thirty (30) days prior to forfeiture of unpaid commissions.4.8 Reversal of CPA for Disqualified PlayersIf a previously paid CPA commission is later found to be invalid due to:Fraudulent activity.Chargebacks within 12 months of being tagged as a Qualified Player.Duplicate accounts or pre-existing customers within the GummyPlay network.Then:The CPA amount will be reversed and deemed a debt owed by the Affiliate to GummyPlay.Future commissions will be adjusted accordingly to recover the debt.4.9 Minimum Performance RequirementsTo maintain active affiliate status, You must, within any rolling three (3) month period:Refer at least 50 new Referred Players.Generate a minimum net revenue of USD $1,000.Failure to meet these conditions may result in:Suspension or denial of further payments.Classification as an inactive affiliate, subject to Program termination.4.10 Branding & Marketing Cost DeductionGummyPlay reserves the right to deduct a Branding Charge from commissions to offset marketing and branding costs.This charge will be communicated in advance and deducted before commission payments.
5. LEGAL COMPLIANCE & LIABILITY5:
1 Compliance with LawsYou must comply with all applicable laws and industry standards related to Your participation in the Affiliate Program. This includes, but is not limited to:Privacy laws (e.g., GDPR, CCPA).Anti-bribery and corruption laws.Marketing and advertising regulations.Any other regulations or guidelines issued by regulatory and governmental authorities in jurisdictions where You operate.5.2 Compliance with Federal Trade Commission (FTC) Guidelines & Other Regulatory BodiesAny public communication related to these Terms and Conditions or Our Social Casino products must be truthful and not misleading. Adherence to the United States’ FTC Endorsement and Testimonial Guidelines, along with all marketing and advertising rules in any other relevant jurisdictions, is mandatory.You must clearly disclose affiliate links and promotions of Our Social Casino products in accordance with the FTC’s recommendations and similar regulations in other applicable jurisdictions.Affiliates must ensure that all social media promotions clearly disclose the relationship between the Affiliate and GummyPlay, such as using ‘#ad’ or similar disclosures where required.5.3 Prohibited ActivitiesWithout limiting any other provisions in these Terms and Conditions, You must not engage in any of the following activities:i. Keyword Advertising Restrictions(a) Do not use pay-per-click (PPC) ads to directly link to the Company’s Casino Services. All PPC advertising must link to Your own website or Affiliate Materials, not directly to Our Casino Services.ii. Website and Technology Usage Restrictions(a) Do not use framing techniques to make it appear that Our Casino Services are offered directly from Your website, unless using a Company-approved third-party tool.(b) Do not use software or technologies to intercept or redirect traffic away from Our Social Casino Services or associated websites.(c) Traffic exchanges, auto-surfing, pay-to-surf promotions, pop-ups, or any hidden cookie-setting methods are strictly prohibited.(d) The use of any Company-owned term, trademarked or otherwise, such as “GummyPlay” (or variations thereof), in domain names, social media usernames, or profile pages is prohibited without prior written approval.(e) Your website must not function solely as a link or banner farm.(f) You may only incorporate Our banners within Your website’s content or non-spam email newsletters. Usage in chat rooms, message boards, hit farms, counters, guestbooks, etc., is not permitted.(g) Do not reference Our products, brands, or Social Casino Services on any inappropriate websites, including those promoting:Hate speechViolenceAny form of discriminationAny content that may mislead users into believing You represent Us or that We endorse You or Your activities(h) Do not compete with Our own marketing efforts by misusing Company trademarks or engaging in unauthorized brand bidding.iii. Email Marketing Restrictions(a) All email marketing campaigns must comply with the United States’ CAN-SPAM Act of 2003 and any other relevant laws and regulations governing email marketing.(b) Emails must not contain false or misleading information, deceptive subject lines, or lack an opt-out mechanism.(c) Emails promoting Our Casino Services must link to Your landing page, not directly to Our Casino Services, unless You have received prior written approval.iv. Social Media Restrictions(a) You may use social media for promotional purposes, but You must not misrepresent or impersonate the Company.(b) All promotions must comply with the terms of service of the social media platforms used.(c) Reports of spam or abuse from any platform may result in immediate termination from the Program.(d) If You are uncertain about any social media promotional method, seek clarification by contacting affiliates@gummyplay.com.v. Other Restrictions(a) Sub-Affiliate Networks: You must obtain prior written approval to operate with sub-affiliates. If approved, You are responsible for ensuring their compliance.(b) Harmful Conduct: You must not engage in any activity that could be detrimental to Our Casino Services or attempt unauthorized access to any of Our systems.(c) Pre-Approval of Offers: All promotions and offers related to Our Casino Services must receive prior written approval from Us.(d) Links to Unregulated or Illegal Gambling Services: Affiliates must not link to or promote unregulated or illegal gambling services in any jurisdiction.5.4 Approvals & MonitoringIf You have questions or require clarifications, contact affiliates@gummyplay.com.Violations of these Terms may result in:Account deactivation.Loss of referral fees.Permanent removal from the Program.5.5 Fraud Prevention & ConsequencesFraudulent activities by You or referred customers will result in immediate termination, forfeiture of commissions, and potential legal action. Fraud includes, but is not limited to:Chargebacks initiated by referred customers.Gameplay or product abuse by referred customers, individually or as a group.Encouraging customers to abuse gameplay mechanics or promotions.Dropping or stuffing cookies (e.g., setting cookies without user consent).Referring customers who hold multiple accounts in violation of Our policies.Creating fake patrons, false leads, or misleading customer data.Misuse of Licensed Materials for deceptive advertising.Any deceptive, misleading, or unethical marketing practices.If We determine that fraud has occurred, We reserve the right to:Deduct any fraudulent earnings from Your commissions.Hold You financially responsible for any direct or indirect costs incurred due to fraudulent activities.Pursue legal remedies for damages caused to the Company.By participating in the Affiliate Program, You acknowledge and agree that We may conduct investigations into potential fraud and compliance breaches at any time. GummyPlay also reserves the right to pursue legal action and seek damages where fraudulent activities have caused financial or reputational harm.
6. TERMINATION & VIOLATIONS:
GummyPlay reserves the right to terminate an affiliate account at any time, with or without cause.Violations include but are not limited to:Misleading marketing practices.Use of Restricted Terms.Fraudulent referrals or traffic manipulation.Failure to comply with sweepstakes regulations.Upon termination, unpaid commissions may be subject to review and withheld where necessary.Affiliates must remove all marketing materials related to GummyPlay upon termination.
7. AMENDMENTS:
GummyPlay reserves the right to update these Terms & Conditions at any time. Continued participation in the Affiliate Program constitutes acceptance of any changes.Changes to payment structures, commission rates, or compliance policies may take effect following notice where reasonable.Affiliates waive any claims related to changes in payout terms, contract conditions, or program modifications.For any questions, contact partners@gummyplay.comGummyPlay reserves the right to approve or reject any affiliate application at its discretion.
